Agreement to these terms

These terms apply when you visit jidokagroup.com, use a Jidoka Group website, dashboard, application, API, integration, automation, diagnostic, SaaS product, subscription, pilot, or consulting service. By using the services, creating an account, connecting a platform, approving a workflow, paying an invoice, or continuing to use Jidoka Group after an update, you agree to these terms.

Jidoka Group is organized in Wyoming, United States. If you use Jidoka Group on behalf of a company or other organization, you confirm that you are authorized to bind that organization, approve platform access, provide business information, and request work or subscriptions on its behalf.

If a separate written agreement, order form, statement of work, data processing agreement, or signed proposal applies to your use of Jidoka Group, that agreement controls if it conflicts with these online terms.

What Jidoka Group provides

Jidoka Group provides operational consulting, workflow design, connected-system analysis, automation implementation, owner dashboards, AI-assisted tools, and SaaS products that help businesses plan, approve, test, launch, and monitor workflows. Services may include diagnostics, recommendations, agent specifications, provider connections, message drafting, safe testing, launch support, reporting, and ongoing monthly support.

Recommendations are based on information you provide, public business information, connected system data when available, and Jidoka Group's operational judgment. Recommendations, forecasts, scores, examples, and projected outcomes are not guarantees of revenue, profit, compliance, savings, lead volume, retention, or any other business result.

Accounts, access, and authorized users

You are responsible for maintaining accurate account information, keeping sign-in credentials secure, controlling who can access your workspace, and promptly telling us about unauthorized access or security concerns. You are responsible for the actions taken by users, contractors, employees, agents, or administrators who access Jidoka Group through your organization.

You may not attempt to bypass access controls, probe or attack the service, scrape restricted areas, interfere with other users, reverse engineer non-public software, or use Jidoka Group to send unlawful, deceptive, abusive, infringing, or unauthorized content.

Connected accounts and platform access

When you connect a third-party platform, such as a CRM, calendar, messaging tool, restaurant platform, payment system, form tool, marketing platform, spreadsheet, or other business system, you authorize Jidoka Group and its service providers to access that platform within the permissions you approve.

You are responsible for confirming that you have permission to connect the account, that the data may be used for the requested business purpose, and that your use of the connected platform complies with that platform's terms. You may revoke access through the connected platform, the integration provider, or by contacting Jidoka Group.

Owner approval before launch

Jidoka Group may prepare workflow logic, draft messages, data mappings, agent specifications, safe-test plans, deployment manifests, and launch checklists. Unless a separate written agreement says otherwise, workflows that send messages, update records, charge customers, publish content, or make changes inside connected systems should not be launched until the business owner or authorized representative approves the relevant messages, rules, permissions, and launch conditions.

You are responsible for reviewing drafts, confirming business rules, honoring customer consent and opt-out requirements, and telling Jidoka Group when a workflow should not run, should be changed, should be paused, or should be disconnected.

Your responsibilities

You agree to provide accurate information, keep account credentials secure, avoid misuse of the services, and comply with laws and platform rules that apply to your business. This includes rules for marketing messages, customer consent, privacy, data retention, regulated services, professional advice, employment, consumer protection, payment processing, industry-specific requirements, and international data transfers.

Jidoka Group does not determine whether your customer lists, message templates, consent records, advertisements, claims, offers, or business practices are lawful. You are responsible for reviewing those items with qualified professionals when needed.

Payments, service fees, and subscriptions

Paid services may include one-time service fees, setup fees, pilots, retainers, usage-based charges, subscriptions, add-ons, implementation work, and custom service packages. Pricing, billing cadence, included work, usage limits, renewal terms, cancellation rights, taxes, and payment timing are governed by the checkout page, invoice, proposal, order form, statement of work, or written agreement presented to you.

Subscription and retainer services may renew automatically unless the applicable order or checkout terms say otherwise. You authorize Jidoka Group and its payment processors to charge the payment method you provide for approved fees, renewals, taxes, and usage charges. You are responsible for keeping payment information current.

Unless otherwise stated in writing, setup fees, work already performed, usage fees, custom implementation fees, and partial billing periods are non-refundable. We may suspend or limit access for overdue, failed, disputed, or unauthorized payments.

Third-party platforms

Jidoka Group services may depend on third-party platforms, APIs, data providers, integration providers, hosting providers, payment processors, messaging carriers, email providers, AI infrastructure, and other software services. We do not control those third parties and are not responsible for outages, rejected messages, policy changes, pricing changes, unavailable APIs, rate limits, account restrictions, model behavior, or data issues caused by those third parties.

AI-assisted outputs and automation limits

Some Jidoka Group services use AI-assisted analysis, drafting, classification, scoring, summarization, or automation. AI-assisted outputs may be incomplete, outdated, or incorrect. You should review important outputs before relying on them, especially customer communications, legal or compliance-sensitive workflows, financial decisions, medical or health-related workflows, employment decisions, and regulated services.

Jidoka Group may provide safe-test evidence and approval gates, but those controls do not eliminate all risk. You are responsible for supervising how workflows operate in your business.

Intellectual property

Jidoka Group owns its websites, software, dashboards, service methods, templates, documentation, playbooks, agent specifications, internal tools, workflows, source code, designs, trademarks, and other materials we create unless a separate written agreement says otherwise.

You retain ownership of business information, customer data, brand materials, content, and other materials you provide. You grant Jidoka Group a limited license to use those materials to provide, secure, support, improve, and document the services.

Client-specific workflow outputs, configured automations, and operational artifacts may be used by the client for internal business operations, subject to the applicable agreement and payment of required fees. Feedback, suggestions, and ideas you provide may be used by Jidoka Group without obligation to you.

Confidentiality and security

Each party may receive non-public business, technical, operational, or customer information from the other. Each party agrees to use reasonable care to protect confidential information and to use it only for the purpose of providing or receiving the services, unless disclosure is required by law or authorized in writing.

We use reasonable technical and organizational safeguards, but no internet service, connected platform, or automation can be guaranteed to be completely secure or uninterrupted.

International use

Jidoka Group operates from the United States and may support customers and users in other countries. If you access or use the services outside the United States, you are responsible for complying with local laws that apply to your business, users, customers, connected accounts, and data transfers.

No professional advice

Jidoka Group provides operational, automation, software, and consulting support. We do not provide legal, financial, tax, medical, compliance, employment, or other regulated professional advice. You should consult qualified professionals for decisions that require regulated advice.

Suspension and termination

We may suspend, limit, or terminate access if you violate these terms, fail to pay, create security or legal risk, misuse the services, or use connected platforms in a way that could harm Jidoka Group, another customer, a third-party provider, or the public. You may stop using the services at any time, subject to any active agreement, payment obligation, cancellation term, or data retention requirement.

Disclaimers and limitation of liability

To the fullest extent permitted by law, the services are provided as available and without warranties of merchantability, fitness for a particular purpose, non- infringement, uninterrupted operation, error-free operation, or guaranteed results.

To the fullest extent permitted by law, Jidoka Group is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, loss of goodwill, business interruption, replacement services, or third-party platform failures arising from use of the website, dashboards, SaaS products, connected systems, automations, or consulting services.

Governing law

Unless a separate written agreement says otherwise, these terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules. Where permitted by law, disputes will be handled in the state or federal courts located in Wyoming. Some jurisdictions give consumers or businesses mandatory rights that cannot be waived; these terms do not limit those rights where they apply.

Changes to these terms

We may update these terms from time to time. When we do, we will update the last updated date above. Continued use of the website, dashboards, SaaS products, subscriptions, or services after an update means you accept the updated terms.
